Charitable companies and Companies Act 2006
The act has codified the duties of directors, and the first duties came into force on that date. Notice periods for general meetings are now 14 days instead of 21, unless the Articles provide otherwise. Members have a statutory right to appoint proxies to vote for them. Written resolutions are easier, and there is no longer a requirement for an AGM. Contact Alan Robinson for a briefing paper on the changes.
